‍ECG Distribution sources wholesale inventory from manufacturers, brands, and third-party distributors, and resells these goods to vetted e-commerce sellers. You understand and agree that we are not a prep center, not a brand partner, and not an Amazon service provider. We serve as a B2B distribution network with limited involvement beyond sourcing and fulfillment.

2. No Refunds or Returns
‍All sales through ECG Distribution are final. We do not accept refunds, returns, or exchanges under any circumstance, including but not limited to:Inventory not selling as expectedInability to become ungated on Amazon or other marketplacesChanges in platform restrictionsMisunderstandings regarding pricing or volumeYou are fully responsible for verifying your ability to sell the product and perform any relevant due diligence before placing an order.

3. Ungating Disclaimer
‍It is your sole responsibility to determine whether you are ungated or eligible to sell a product on any third-party marketplace, including Amazon. ECG Distribution does not guarantee ungating support, brand approval, or any outcomes related to account permissions.We may provide an invoice to assist in ungating upon request, but we do not offer personalized support nor are we liable for your success or failure to obtain brand approval.

4. Confidentiality & Non-Circumvention
‍By accessing deals or product sheets through ECG Distribution, you agree to the following:You will not share deal information or supplier contacts with third parties.You will not attempt to contact, purchase from, or negotiate directly with our suppliers unless explicitly approved in writing by ECG Wholesale LLC.You understand this is a non-circumvention relationship, and breach may result in permanent removal and legal action.

5. Deal Availability & Fulfillment
‍All products are sold first come, first served, and inventory is not guaranteed until payment is received in full. Pricing, availability, and expected delivery windows may change at any time. ECG Distribution is not responsible for downstream shipping delays or discrepancies caused by third-party carriers.

6. Indemnification
‍You agree to indemnify and hold harmless ECG Wholesale LLC, its owners, employees, contractors, and affiliates from any claims, damages, or liabilities related to:Use or resale of purchased goodsAccount suspension or loss of selling privilegesTrademark violations or listing restrictionsYou are responsible for understanding marketplace compliance before making any purchase.

7. Limitation of Liability
‍To the maximum extent permitted by law, ECG Wholesale LLC shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any transaction shall not exceed the amount paid for that specific order.

8. Intellectual Property
‍All materials on this Site—including deal sheets, supplier lists, and training resources—are the intellectual property of ECG Wholesale LLC and may not be copied, shared, or redistributed without permission.

9. Termination of Access
‍We reserve the right to revoke access to our deals, platform, and communications at any time and for any reason, including suspected breach of these Terms.

10. Governing Law
‍These Terms shall be governed by the laws of the Commonwealth of Massachusetts. Any disputes arising shall be resolved in the courts of Essex County, MA.
